Welcome to Hutfloor AI ("we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of our platform, AI agents, standalone AI products, fintech and tax AI tools, and custom AI automation services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or otherwise using the Services, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

2. Changes to Terms

We may modify these Terms at any time. The "Effective Date" at the top reflects the latest revision. Continued use of the Services after changes constitutes acceptance.

3. Account Registration

• You must provide accurate, complete, and up‑to‑date information during registration.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• We may suspend or terminate your account for violations of these Terms or for security reasons.

4. Use of Services

• License: We grant you a limited, non‑exclusive, non‑transferable, revocable license to use the Services in accordance with these Terms.
• Prohibited Conduct: You may not (i) reverse engineer, decompile, or disassemble any part of the Services; (ii) use the Services for unlawful activities; (iii) infringe any intellectual property rights; (iv) upload malicious code or harmful content; or (v) interfere with the operation of the Services.
• Compliance: You must comply with all applicable laws, regulations, and industry standards, especially when using fintech or tax‑related tools.

5. Payments, Billing, and Refunds

• Fees: Access to certain Services may require payment of subscription fees, usage fees, or one‑time charges as described on our pricing page.
• Billing: By providing payment information, you authorize us to charge the applicable fees. All fees are non‑refundable unless required by law.
• Taxes: You are responsible for any taxes applicable to your purchase.

6. Intellectual Property

• Ownership: We retain all right, title, and interest in and to the Services, including all software, algorithms, data, and documentation.
• User Content: You retain ownership of any data, documents, or content you upload. By uploading, you grant us a worldwide, royalty‑free, sublicensable license to use, store, process, and display that content solely for providing the Services.

7. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non‑infringement.

8. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or use, arising out of or related to the Services, even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Hutfloor AI, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your use of the Services or violation of these Terms.

10. Termination

• Either party may terminate these Terms at any time for any reason with written notice.
• Upon termination, your license to use the Services ends, and you must cease all use.
• All provisions that by their nature survive termination (e.g., indemnification, limitation of liability, intellectual property) remain in effect.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Bengaluru, India.
